About the Role

This isn’t a typical Company Secretary role.

You will serve as the governance backbone of CoinDCX’s global entity structure , ensuring statutory compliance, board governance, and regulatory discipline across India, Dubai, Mauritius, Jordan, and any future jurisdictions.

This role exists to build and safeguard the company’s governance architecture as we scale globally in a highly regulated industry. You will act as the custodian of global compliance standards across Finance, HR, Compliance, and Legal functions, ensuring our governance framework is robust, audit-ready, and aligned with potential future listing requirements.

You will work closely with the CFO, Legal, Compliance, Board members, and external advisors to drive best-in-class governance standards across all entities.

What You’ll Do

• Lead global corporate governance across all CoinDCX entities, ensuring statutory compliance and governance alignment across jurisdictions.
• Own and manage Board & Committee processes, including agendas, minutes, resolutions, regulatory disclosures, and action trackers.
• Drive compliance under the Companies Act, FEMA, and relevant international regulations, coordinating with local advisors in UAE, Mauritius, Jordan, and other geographies.
• Act as the cross-functional compliance custodian, ensuring HR, Finance, and Compliance teams meet statutory obligations and governance standards.
• Strengthen IPO and capital markets readiness, building board structures, documentation systems, and compliance processes aligned with public market norms.
• Oversee ESOP governance, cap table management, and share allotments, ensuring transparency and regulatory adherence.
• Develop and refine corporate governance policies, including delegation matrices, board charters, and internal compliance frameworks.

You’ll Excel in This Role If You

• Think in systems and build governance frameworks that scale with complexity.
• Have deep expertise in Companies Act compliance and multi-entity structures with more than 10 years of experience.
• Are calm, structured, and decisive in high-stakes regulatory environments.
• Communicate with clarity and confidence at Board and CXO levels.
• Bring global perspective while executing with operational precision.
• Have experience in listed public companies or IPO-readiness environments.
• Thrive in regulated, fast-evolving industries like fintech or crypto.
